Vendor Management — Lock-In, Negotiation, Escape Strategy#
"When the vendor says 'per-customer costs are going up,' you have 6 months to argue about it. Migration takes 12 months. If you haven't measured your dependency on the vendor — you can't negotiate."
This guide covers vendor selection, contract negotiation, lock-in measurement, and escape strategy for DevOps, with concrete techniques.
🎯 Vendor Maturity Questions#
Before picking a new vendor, ask these questions first:
Technical#
- Does it conform to open standards? (OpenTelemetry, OCI, OAuth, OIDC)
- Is it an API gateway, or lock-in (proprietary protocol)?
- Is there a self-host alternative?
- Is data export complete? In which format?
- Is there an SLA / uptime guarantee?
Operational#
- Multi-region support?
- Is DR / backup handled on the vendor's side?
- Is there audit log access?
- SCIM / SSO support?
Legal#
- Is there a data residency option?
- DPA (Data Processing Agreement) signatures?
- SOC 2 Type II / ISO 27001 certification?
- KVKK (Turkey's Personal Data Protection Law, No. 6698) compliance (for Turkish customers)?
- Vendor compromise → how does it affect us?
Financial#
- Contract term (how long are we locked in)?
- Cancel / scale-down terms?
- Per-customer / usage-based / flat fee?
- Hidden fees (egress, support tier)?
🔒 Measuring Lock-In#
The "migration time" test#
Hypothetically: how many weeks would it take to move from this vendor to an alternative?

- Quarterly: pull a data export from the vendor, parse it, keep the numbers

🤝 Negotiation — Practical Tactics#
Pre-negotiation prep#
- Determine the lock-in level (above)
- Gather usage metrics (how much has the vendor grown in 6 months?)
- List alternative vendors (real evaluation)
- POC done — does the alternative actually work?

If you enter negotiations without a POC, the vendor treats you with a "so what are you going to do about it?" attitude. 2-3 alternative vendors + a POC = negotiation power.

1. Compromise Risk#
If the vendor is breached → your customer data leaked.
Mitigation: - Sub-processor agreement - Encryption at vendor side (you own the data) - Periodic vendor audit
2. Acquisition Risk#
Another company acquires the vendor → the roadmap changes.
Mitigation: - Multi-year contract - "Acquisition triggers re-negotiation" clause
3. Sunset Risk#
The vendor shuts down the service.
Mitigation: - Clause requiring 12 months' notice - Alternative POC ready - Quarterly migration drill (test export)
4. Pricing Risk#
The vendor triples the price.
Mitigation: - Price-cap clause (annual increase < X%) - Multi-vendor competition
5. Performance Risk#
Vendor down, SLA breach.
Mitigation: - SLA credit policy - Multi-region or multi-vendor failover
